Abstract

Although the acquisition of minority shareholdings does not involve a transfer of control, such transactions can have significant competitive effects. From this perspective, the analysis covers structures such as cross-ownership and common ownership, as well as the rights granted to minority shareholders under the Brazilian Corporations Law. The study also compares the Brazilian approach with those of other jurisdictions, including the EU, US, and UK, highlighting different notification criteria and assessments of material influence.
