Abstract

This article analyzes the impacts of contemporary geoeconomics on international business contracts embedded in global value chains. It is based on the premise that States and economic blocs increasingly employ regulatory, commercial, tariff, environmental, and strategic instruments to pursue economic, climate-related, and geopolitical objectives. Such measures produce effects that extend beyond interstate relations and directly affect private legal relationships. In this context, the article analyzes the transformation of the ESG agenda and the European Green Deal into mechanisms of unilateral regulation with indirect  xtraterritorial effects, particularly through due diligence, traceability, and environmental compliance requirements. Subsequently, it examines the challenges of accommodating contemporary geoeconomic shocks within the traditional doctrines of contract revision under Brazilian law, in dialogue with foreign approaches to changed circumstances. Finally, the article argues that international business contracts have come to play a central role in the management and allocation of geoeconomic risks through force majeure, hardship, change in law, economic sanctions, export control, compliance, audit, and traceability clauses. It concludes that private
autonomy does not disappear in the face of increasing state regulation but is transformed into an instrument of adaptation, cooperation, and dynamic risk management in international trade.
